use your browser's back button to return Adopted By-Laws P.L.A.Y. (Public Lands Access Year-round) The following by-laws are hereby amended by the organization on August 25, 2003. ARTICLE I FEES AND DUES. Membership fees shall be $25 per family including all children under 18 years of age. The membership for single members, except family members, shall be $15 per member. Membership for businesses shall be $50. Said membership fees shall be paid at time of entry to the club and annually thereafter. Upon full payment of the membership fee, suitable membership shall be issued along with a copy of the Code of Ethics. The proceeds of membership fees shall, insofar and possible, be used only for the operation of the organization. ARTICLE II MEMBERSHIP MEETINGS. Section 1. The regular meeting shall be held on the first (1st) Thursday of each month. Board of Directors may meet once a month prior to the regular meeting of each month to transact any necessary business as directed by the President of the organization. Section 2. The organization will have their fiscal year from August 1 to July 31. Section 3. At any regular or special meeting a QUORUM shall consist of a majority of the executive committee consisting of the President, Vice-president, Secretary/Treasurer and the Board of Directors. Section 4. At monthly meetings, resolutions may be adopted and instructions may be issued to the Board and the Officers, provided they do not abridge powers specifically granted to the Board by these By-Laws. Section 5. At such time as the general membership is needed to vote, the voting rights are as follows: Each voting member shall be entitled to one vote only, cast in person, and there shall be no voting by proxy. Voting members shall include all single members and each family membership shall be entitled to 2 votes, which may be exercised by any two of said family members present at any meeting. Business members shall also be allowed 2 votes, of which members must be present. Qualified voting members must hold a current dues card. If one-fourth of the members voting so request by a motion to that effect, the vote on any matter presented shall be by secret ballot. ARTICLE III. DIRECTORS AND OFFICERS. Section 1. Directors: The management of the organization shall be vested in a Board of Directors of not less than five (5) nor more than nine (9) members. Said Board shall be elected by the general membership. Any individual change of directors shall require a vote of the entire membership. An even number of directors shall have 2 year terms and the other number having one year terms, therefore providing directors to remain as others are elected. Section 2. Duties of Directors: The Directors shall administer all business carried on by the organization under the direction and control and with the cooperation of the Officers duly elected. The Board may create advisory committees composed of individuals interested in one or more phases of the activities of the organization. It shall be the duty of each director to attend all regular meeting of the organization during the fiscal year. Should any director fail to attend three consecutive regular meetings during the organization year without a valid reason, a replacement may be elected to the position by a vote of the entire membership. Section 3. Officers: The Officers shall consist of
the President, Vice-President, Secretary/Treasurer and such other officers, as
the Board may deem necessary. The Past President of the year preceding will act
in capacity of advisor in matters pertaining to the organization during the
current organization year. The above named officers shall be elected at the
first meeting of the club year in September Section 4. Duties of Officers: The Officers shall perform the duties appertaining to such officers and such duties as may be delegated to them by these By-Laws, or by the Board of Directors. It shall be the duty of the officers to attend all regular meetings and special meetings of the organization during the organizations year. ARTICLE IV. ELECTIONS. Section 1. Members of the Board of Directors: At the annual meeting to be held on the first (1st) Thursday of September there shall be nominations and elections of the year term to fill vacancies of the three one term directors. Any member shall be eligible for nominations to the Board of Directors. Immediately upon election, the newly elected members of the Board shall enter upon the performance of their duties and continue in the office until their successors shall be duly elected. Section 2. Officers: At the last meeting of the club year held on the first (1st) Thursday of August, members of the club may appoint a nominating committee, consisting of three members who shall make their nominations for each office on a ticket for balloting at the first meeting of the organization in July of each year. The ticket may contain one or more nominations for each office with blanks for write-ins. Officers will be elected by a majority YES vote of members through a ballot. The President may hold office for as long as he/she is willing. Any Officer can be removed from office by a two-thirds "YES" vote of the existing Board of Directors. ARTICLE V. COMMITTEES. Section 1. Executive Committee: The Executive committee shall be comprised of the officers and board members and the president shall have supervision control and direction of the affairs of the organization not already delegated to the Board and the Officers by these By-Laws. Section 2. Membership Committee: The membership committee shall be the elected officers and the Board of Directors. The membership committee shall have the right to approve or disapprove membership to said club unless overruled by the two-thirds yes vote of the members. Any misconduct that is deemed harmful and unbecoming to the said organization name or any violation of the adopted Code of Ethics of the organization, shall be brought before the Officers and the Board of Directors for any disciplinary action deemed necessary. ARTICLE VI. FUNDS: This organization is not intended as a profit-making organization, nor has it been founded with the expectation of making a profit. This organization shall use its funds only for objects and purposes specified in its Articles of Incorporation and in these By-Laws and no dividends or distributions shall at any time be made to its members. Therefore, this organization shall be exempt from any state or federal tax. ARTICLE VII. Section 1. These By-Laws may be amended, repealed or altered, in whole or in part, by any majority vote of the Board of Directors with a final simple majority approval by the members at the next scheduled meeting. Upon vote by the membership, the bylaws take effect immediately. ARTICLE VIII.
CODE OF ETHICS: I will be a good sportsman. I recognize that people judge all public lands users by my actions. I will use my influence with other public land users to promote sportsman-like conduct. I will not litter trails or camping areas. I will not pollute streams or lakes. I will not damage living trees, shrubs or other natural features. I will respect other people’s property and rights. I will lend a helping hand when I see someone in distress. I will make my vehicle and myself available to search and rescue parties. I will not interfere with other public land users, when their means of access is different than mine. I will respect their rights to enjoy their access to pubic lands also. I will know and obey all Federal, State and local rules and law regulating the use of public lands in areas where I use my vehicle. I will not harass wildlife.
